Voice Technology Systems (VTS)

1. About us

Voice Technology Systems, also known as VTS, is a trading name of Blam Websites Ltd, a company registered in England and Wales under company number 09381351.

Our registered office is 167–169 Great Portland Street, 5th Floor, London, England, W1W 5PF.

In these terms, “we”, “us” and “our” mean Blam Websites Ltd. “You” and “your” mean the business buying our services or, where relevant, the person visiting our website.

Contact us at support@blamwebsites.com. Please put “VTS” in the subject line.

2. When these terms apply

These terms cover use of our website and the AI voice, messaging, automation and related services we agree to supply. Our paid services are offered to businesses for business purposes. Anyone placing an order on behalf of a business must have authority to bind that business.

Your signed proposal, accepted order or other written service agreement (your “Order”) sets out what you are buying, the charges, any minimum term, and any service-specific conditions. A paid service contract begins when you accept an Order incorporating these terms and we confirm acceptance. Visiting our website or trying a demonstration does not, by itself, create a paid subscription.

For the relevant subject matter, an agreed data processing agreement takes priority on personal data processing, followed by your Order and then these terms. A statement in sales or demonstration material does not change the contract unless included in your Order.

These terms do not replace a separate reseller or partnership agreement.

3. Our services

Depending on your Order, services may include inbound AI reception, outbound calling, appointment booking, lead follow-up, conversational messaging, CRM integrations, configuration, testing and ongoing management.

We will provide the services with reasonable care and skill, within the agreed scope. Only features, integrations, support and deliverables expressly included in your Order are included in the price. Additional work requires agreement on scope and charges before we proceed.

The services support business processes. We do not promise a particular number of leads, answered calls, appointments, sales, revenue or cost savings.

Demonstrations illustrate possible functionality. Their voices, responses and features may differ from a configured service. Use test details or information you are authorised to provide when trying a demonstration.

4. Your information, instructions and access

You must supply accurate business information, authorised contact data, scripts, policies, permissions and account access needed for the agreed work. Tell us promptly when these change, including changes to prices, opening hours, availability and escalation contacts.

You must have the right to share the information and materials you provide and to authorise the actions you ask the service to perform.

You are responsible for keeping your own accounts and credentials secure, restricting access to authorised users, and telling us promptly about suspected misuse. We are responsible for securing credentials and access under our control.

Delivery dates depend on receiving the necessary information, access and approvals. If these are delayed, we will explain the effect on delivery. Your Order determines when billing starts; a delay does not automatically pause a subscription that has already started.

5. Configuration, testing and launch

Before launch, we will agree the intended use, permitted actions and any human handover or escalation route within the scope of your Order.

You must review the business information, scripts, booking rules and permissions, take part in agreed testing, and provide written approval before live use. If you configure or change the service yourself, you must test those changes before enabling them.

Approval does not remove our responsibility for the work we have agreed to perform. You remain responsible for the accuracy of your business instructions and for any changes made by you or others acting on your behalf.

If a material error or unexpected behaviour occurs, tell us promptly and take reasonable steps to limit harm, including pausing the affected activity where appropriate. We will investigate and address issues within our agreed responsibilities.

6. AI limitations and human oversight

AI can misunderstand speech, accents, names, context or instructions. It can produce inaccurate, incomplete or inappropriate responses, record information incorrectly, or fail to complete an action. Responses may vary even where similar information is provided.

You must maintain oversight appropriate to the use case. This may include reviewing call records, checking bookings, monitoring complaints and ensuring staff are available for the agreed escalations. We will carry out any monitoring or review expressly included in your Order.

The services do not provide qualified medical, legal, financial or other regulated professional advice. They must not be used as the sole basis for decisions with significant legal, financial, health or safety consequences.

The services are not emergency services and must not be relied on for emergency response, safeguarding decisions or urgent clinical assessment. Any use in a sensitive or regulated setting must be agreed in writing, with suitable restrictions and human escalation arrangements.

We do not guarantee that an AI interaction will be indistinguishable from a human interaction.

7. Calling, messaging and marketing

You are responsible for establishing that each campaign, contact list and communication is lawful in the countries concerned. We remain responsible for complying with the legal duties that apply to our own role and activities.

Before asking us to contact someone, you must establish the required permissions and lawful basis, provide accurate records where requested, and identify applicable restrictions. These may include consent requirements, preference registers, suppression lists, permitted contact times, identification requirements and sector-specific rules.

Permission for one communication method does not necessarily authorise another. Do not assume that consent to a human sales call authorises an automated or AI marketing call, or that a data protection lawful basis removes a separate consent requirement for the communication itself.

You must give us current opt-outs and suppression instructions before a campaign and notify us promptly of changes received elsewhere. We will action opt-outs received through the service in accordance with the agreed workflow and applicable law. You must ensure those restrictions are reflected in your other systems and future campaigns.

You must not use the services to harass people, disguise the business responsible for a call, impersonate someone without authority, make misleading claims, or contact people who have objected where further contact is prohibited.

We may request evidence of permission or decline or pause a campaign where there are reasonable concerns about its legality. Our acceptance of a brief is not legal clearance for the campaign.

8. Recordings, transcripts and personal data

If enabled, the services may process telephone numbers, recordings, transcripts, contact details, booking information and other information shared during an interaction.

You must ensure that the required notices are given and that recording, transcription, AI disclosure and data collection comply with applicable law. Do not ask the service to conceal its automated nature where disclosure is required or necessary to avoid misleading someone.

Do not provide special category data, criminal offence data, payment card details or other sensitive information unless the intended processing and appropriate safeguards have been expressly agreed in writing. You must minimise the personal data included in scripts, knowledge sources and integrations.

Our Privacy Policy explains how we handle personal data for our own purposes, such as enquiries, account administration and billing. Where we process personal data on your behalf, a binding data processing agreement covering that processing must be in place before live processing begins. A Privacy Policy does not replace that agreement.

The data processing agreement will govern instructions, confidentiality, security, subprocessors, international transfers, assistance, breach notification, retention and return or deletion. We will notify you of a personal data breach affecting data we process on your behalf without undue delay after becoming aware of it.

These terms do not give us permission to sell your customer data or use it to train general-purpose AI models. Any such use would require a separate lawful arrangement. Supplier processing arrangements must be addressed in the applicable data processing documentation.

9. Fees, subscriptions and usage

Your Order sets out setup charges, subscription fees, included allowances, usage rates and any minimum commitment. VAT and other applicable taxes are additional unless expressly included.

Subscriptions are payable in advance unless your Order says otherwise. Usage charges may be collected through a prepaid balance or invoiced separately, as specified in your Order. Authorising the service to operate authorises the associated usage charges at the agreed rates.

Usage may include telephony, AI processing, messages, telephone numbers and third-party services. Your Order must explain the charging basis, including any minimum billing units, rounding, chargeable call outcomes and allowance expiry. Unanswered calls, voicemail and test activity may incur charges where the agreed tariff provides for them.

You can request a breakdown of recorded usage. Spending limits, alerts and automatic pauses apply only where expressly agreed. We do not promise that an alert will prevent all further charges.

Trials and proofs of concept have the duration, scope, charges and continuation arrangements disclosed in their written offer. A free or discounted period applies only where expressly offered. Any automatic move to paid service must be disclosed and accepted before the trial begins.

Raise disputed charges promptly, giving enough detail for us to investigate. You must pay undisputed amounts when due. We will give notice and a reasonable opportunity to resolve overdue payment before suspending service, unless immediate action is reasonably necessary to prevent fraud or further unauthorised usage.

10. Renewal, cancellation and refunds

Your Order determines any minimum term and renewal arrangements. Unless it expressly states otherwise, a monthly service continues on a rolling basis and either party may end it on at least 30 days’ written notice, subject to any agreed minimum term.

Send cancellation notices to support@blamwebsites.com, identifying your business and the service concerned. Notice runs from receipt. Fees and authorised usage remain payable until the effective end date. Any treatment of part billing periods must be disclosed in your Order.

Setup charges for completed setup work are non-refundable merely because you later choose not to continue. Fees for services already supplied and usage already incurred remain payable. This does not remove remedies available for our breach or any express refund right in your Order.

If we permanently withdraw a prepaid service without providing a materially equivalent replacement, or you validly terminate for our material breach, we will refund the unused prepaid portion of the affected service. Other prepaid fees and balances are treated as specified in your Order.

Stopping a direct debit or other payment method does not cancel the contract.

11. Third-party platforms and availability

The services may depend on telecommunications networks, AI providers, hosting, CRM systems, calendars and other third-party platforms. We will identify material customer-facing dependencies and any additional terms you must accept before use. Relevant subprocessors are addressed in the data processing agreement.

Outages, filtering, changes to APIs, carrier restrictions and supplier changes may affect delivery or functionality. We do not guarantee uninterrupted availability, successful delivery of every communication, or continued availability of a particular third-party voice or feature.

We will take reasonable steps to manage issues affecting our agreed service. Using suppliers does not remove our contractual responsibilities or our legal responsibilities for subprocessors. Any specific availability or response-time commitment must be included in your Order.

Maintain a suitable alternative contact route for your business if the service is unavailable.

12. Confidentiality and intellectual property

Each party must protect the other’s confidential business information, use it only for the contract, and disclose it only to people or suppliers who need it and are subject to appropriate confidentiality duties. This does not prevent disclosure required by law or use of information that is independently developed, lawfully received elsewhere or already public without breach.

You retain your rights in the materials and data you supply. You grant us the permissions needed to use them to provide the agreed services, subject to the data processing agreement where applicable.

We and our licensors retain rights in our platforms, software, reusable workflows, templates and other pre-existing materials. Your Order will identify any separately commissioned deliverables and the ownership or licence rights provided for them.

To the extent we hold transferable rights in AI outputs created specifically for you, we permit you to use those outputs for your business, subject to payment and applicable third-party rights. AI outputs may not be unique or protected by copyright. We cannot grant rights owned by someone else.

Do not copy or resell the service, bypass access controls, misuse credentials or clone a person’s voice without the necessary rights and permissions. Any agreed reseller rights must be documented separately.

We will not publish identifiable customer recordings, confidential materials or testimonials without your permission.

13. Suspension and termination for breach

Either party may terminate an affected service if the other commits a material breach and does not remedy it within 14 days of written notice, where the breach can be remedied.

We may suspend affected activity immediately where reasonably necessary to prevent unlawful communications, protect personal data or systems, respond to a serious security risk, or comply with a legal or binding supplier requirement. We will explain the reason where legally permitted, limit suspension to what is reasonably necessary and work towards restoration where possible.

Suspension does not automatically cancel your contract. Charges during suspension depend on its cause and the service still supplied; we will not charge for services we fail to provide through our own breach.

14. What happens when the service ends

At the end of the contract, access to the affected service and its automations will stop. You must arrange replacement call handling, forwarding and integrations as needed. We will confirm the agreed disconnection arrangements.

Personal data will be returned or deleted as required by the data processing agreement and applicable law. Request any required exports in time for an orderly handover. Additional migration work outside the agreed service must be quoted and agreed in advance.

Telephone number allocation, retention and portability depend on the supplier and the applicable rules. Your Order should identify any number supplied and the transfer arrangements. We will provide reasonable assistance with a permitted transfer, but cannot guarantee ownership or portability where we lack those rights.

Outstanding payment duties and provisions intended to survive termination remain effective.

15. Liability

Nothing in this contract excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.

Subject to that protection, neither party is liable to the other for indirect or consequential loss, or loss of profit, revenue, anticipated savings, business opportunity or goodwill arising from the contract.

Subject to the first paragraph of this section and any different liability arrangement expressly agreed in your Order or data processing agreement, each party’s total liability arising from or connected with an affected service is limited to the fees paid or payable for that service during the 12 months immediately before the event giving rise to the claim. This limit does not reduce your obligation to pay agreed charges for services supplied.

These provisions apply only to the extent permitted by law. They do not restrict a person’s statutory data protection rights or a regulator’s powers.

16. Changes, events outside our control and disputes

We may make reasonable changes to maintain security, comply with law or support the service. We will normally give at least 30 days’ written notice of changes to these terms, recurring prices or material service features. Shorter notice may be necessary for urgent legal or security reasons, which we will explain where permitted.

A fixed price agreed for a fixed term will remain in place unless your Order expressly provides otherwise. If a proposed change materially disadvantages you, you may give notice before it takes effect to end the affected service without an early termination charge, with a refund of unused prepaid fees for the period after termination. Any different negotiated arrangements must be expressly stated in your Order.

Neither party is responsible for delay caused by events genuinely beyond its reasonable control, provided it takes reasonable steps to reduce the impact and keeps the other informed. This does not excuse duties that cannot lawfully be excluded or payment for services already supplied. If an event prevents an affected service for more than 30 consecutive days, either party may end it by written notice, with unused prepaid service fees refunded.

Please contact us first about a complaint so we can try to resolve it. These terms and any non-contractual dispute connected with them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory law that applies.

If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a right does not waive it. Neither party may transfer the contract without the other’s written consent, which must not be unreasonably withheld, except to a successor taking over the relevant business who can perform its obligations. No third party may enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
